Questions about Elders Trust

At recent shareholder meetings in Anchorage, Seattle, Ketchikan and Hydaburg, several people have inquired about the Haida Corporation's Elders Trust. An attorney for the Haida Corporation provided this report to the Board of Directors, and shareholders to set the record straight. 

   
   Hi Vincent: 
 
   Per your request, I looked into whether the right of a Beneficiary to receive a
   distribution from the Trust at 65 years of age can be changed to 55 years of age.  
   The terms of the trust do not allow the Trustees to change the designated
   beneficiaries of the Trust. Specifically, Section 26.4 of the Trust states
   “the Trustees may not use the powers contained in this Section [Amendments to the Trust]
   to change the designated Beneficiaries of the Trust....”  


   In addition, ANSCA limits issuance of the special stock as provided in the Elders Trust
   to shareholders who have attained the age of 65. 43 U.S.C. §  1606(g)(2), 43 U.S.C. §  
   1629b; see also Hanson v. Kake Tribal Corp., 939 P.2d 1320, 1324 (Alaska 1997),
   Sierra v. Goldbelt, Inc., 25 P.3d 697, 702 (Alaska 2001), Broad v. Sealaska Corp.,
   85 F.3d 422, 425 (9th Cir. 1996).  Thus, based on the terms of the trust and ANSCA,
   the age for distribution to beneficiaries cannot be changed to 55.
